Bill of Lading 提单

B/L is the short form of Bill of Lading which is one of the most important documents in international business. A Bill of Lading represents both a receipt for goods shipped and a contract for shipment between the shipping company and the shipper. It is also a document of entitlement to the goods, giving the holder or the assignee the right to possess the goods. It is issued and signed by a shipping company or its authorized agent.

B/L是Bill of Lading的缩写形式,是在国际贸易中最重要的单据之一。提单既作为承运货物的收据,又代表承运人和托运人之间的运输合同。它也是货物所有权的证件,因而给予持有人或受让人提货的权力。它由承运人或其授权代理签署。

1. The main functions of a B/L 提单的主要作用

1. It is a cargo receipt made out by the ship owner; 它是船方填制的货物收据;

2. It is the evidence of a contract of carriage between the consignor and the shipping company; 是

托运人与承运人间的运输合同证明;

3. B/L is a document of title to the goods. 是货物所有权证明单据。

4.The Main Contents and Notes of B/L 提单内容及说明 1. Shipper or Consignor 发货人或托运人 It is the exporter who is the beneficiary in the L/C.

说明:即与承运人签订运输契约,委托运输的货主,即发货人。在信用证支付方式下,一般以受益人为托运人;托收方式以托收的委托人为托运人。另外,根据《ucp500》第31条规定:除非信用证另有规定,银行将接受表明以信用证受益人以外的第三者为发货人的运输单据。 2. Consignee 收货人

If it is stiputalted in L/C as follows: 如果信用证中这样规定:

1) “Full set of B/L consigned to XXX Co” –---托运给XXX公司的全套提单

说明:记名收货人,在收货人一栏直接填写上指定的公司或企业名称。该种提单不能背书转让,必须由收货人栏内指定的人提货或收货人转让。 2) “Full set of B/L made out to order”---- 凭指示填制的全套提单

说明:即在收货人栏留空不填,或填“to bearer”(交来人/持票人)。这种方式承运人交货凭提单的持有人,只要持有提单就能提货。 3) “B/L issued to order of XXX” 按XXX指示出的提单

You should make out respectively:

1) “Consigned to XXX Co” 2) “To order” 3) “To order of XXX”

说明:指示式的收货人又分为不记名指示和记名指示两种。

不记名指示,是在收货人一栏填“to bearer”,又称空白抬头。该种提单,发货人必须在提单背面背书,才能转让。背书又分为记名背书和不记名背书(空白背书)两种。前者是指在提单背面填上“deliver to ×××”,“endorsed to ×××”,然后由发货人签章;后者是发货人在背面不做任何说明只签章即可。记名背书后,其货权归该记名人所有,而且该记名人不可以再背书转让给另外的人。不记名背书,货权即归提单的持有人。

记名指示,是在收货人一栏填“to order of shipper”,此时,发货人必须在寄单前在提单后背书;另外还有凭开证申请人指示即L/C中规定“to order of applicant”,在收货人栏就填“to order of ××× Co”;凭开证行指示,即L/C中规定“to order of issuing bank”,则填“to order of ××× bank”。

3. B/L No. 提单号码

It is given by shipping company or its agent. 由承运人或其代理人指定。

说明:一般位于提单的右上角,是为便于工作联系和核查,承运人对发货人所发货物承运的编号。其它单据中,如保险单、装运通知的内容往往也要求注明提单号。 4. Notify Party, addressed to 被通知人和地址

If it belongs to straight Bill of Lading, the consignee’s address is written in details; if it states otherwise, fill in the blank as the requirement in the L/C. 若为直达提单,收货人地址应详细填写;若另行规定,按信用证要求填写。

说明:原则上该栏一定要按信用证的规定填写。被通知人即收货人的代理人或提货人,货到目的港后承运人凭该栏提供的内容通知其办理提货,因此,提单的被通知人一定要有详细的名称和地址,供承运人或目的港及时通知其提货。若L/C中未规定明确地址,为保持单证一致,可在正本提单中不列明,但要在副本提单上写明被通知人的详细地址。托收方式下的被通知人一般填托收的付款人。

5. Ocean Vessel and Voyage No. 船和船名

If transshipment is allowed, the second ship’s name is filled in here; If transshipment is not allowed, the first ship’s name is filled in. 若允许转船,第二艘船名填在此处;若不许转船,第一艘船名填写在此。

说明:即由承运人配载的装货的船名,班轮运输多加注航次。 6. Port of Loading 装货港

Fill in the name of port, e.g. “Tianjin”, “Qingdao”, it can not be written as “Chinese port” on CIF or CFR basis. 填港口名称,如:“天津港”、“青岛港”,在CIF和CFR条件下,不能填“中国港”。 说明:填实际装运货物的港名。L/C项下一定要符合L/C的规定和要求。如果L/C规定为“中国港口”(Chinese port)此时不能照抄,而要按装运的我国某一港口实际名称填。 7. Port of Discharge 卸货港

If the ship arrives at the destination directly, fill the port of destination; if transshipment is allowed, fill in the port that the cargo is unloaded after the first voyage. 如果船直达目的地,填目的港;如果允许转船,填第一艘船卸货的港口。

说明:原则上,L/C项下提单卸货港一定要按L/C规定办理。但若L/C规定两个以上港口者,或笼统写“××主要港口”如“European Main Ports”(“欧洲主要港口”)时,只能选择其中之一或填明具体卸货港名称。如果L/C规定卸货港名后有“in transit to××”只能在提单上托运人声明栏或唛头下方空白处加列。尤其我国只负责到卸货港而不负责转运者,不能在卸货港后加填,以说明卖方只负责到卸货港,以后再转运到何地由买方负责。 8. Place of Delivery 发运地点

It should be in conformity with the stipulations of the L/C, if there is no L/C, it should be in

conformity with the requirement of the contract and the invoice. 应与信用证中规定一致,如果信用证中无列明,应与合同和发票要求相符。 9. Mark and Nos 唛头及箱号

According to the requirements of the L/C; if there is no marks, fill in “N/M”. 按信用证要求,若无唛头,填“N/M”。

说明:如果信用证有明确规定,则按信用证缮制;信用证没有规定,则按买卖双方的约定,或由卖方决定缮制,并注意做到单单一致。 10. No. of Packages 包装号

Fill in the number of package in figures. 用数字填写包装号。

说明:一般散装货物该栏只填“in bulk”,大写件数栏可留空不填。单位件数与包装都要与实际货物相符,并在大写合计数内填写英文大写文字数目。如总件数为320 cartons填写在该栏项下,然后在总件数大写栏(Total numbers of packages in words)填写:

Three hundred and twenty cartons on1y。如果货物包括二种以上不同包装单位(如纸箱、铁桶),应分别填列不同包装单位的数量,然后再表示件数:300 cartons 400 iron drums 700 packages. 11. Description of goods 货物说明

Fill in the name of commodity. 填写货物名称

说明:原则上提单上的商品描述应按信用证规定填写并与发票等其他单据相一致。但若信用证上货物的品名较多,提单上允许使用类别总称来表示商品名称。如出口货物有餐刀、水果刀、餐叉、餐匙等,信用证上分别列明了各种商品名称、规格和数量,但包装都用纸箱,提单上就可以笼统写:餐具××× cartons。 12. Gross Weight & Measurement 毛重和尺码

Fill in the gross weight in kilogram as calculating weight unit. If there is no package or in bulk, you can write “Gross for Net”. Fill in the cargo’s volume, keep three decimal fraction. 以公斤作为计算重量单位填写毛重。如果无包装或散装,可写“毛重作为净重”。填写货物体积,保留三位小数。 说明:除非信用证有特别规定,提单上一般只填货物的总毛重和总体积,而不表明净重和单位体积。一般重量均以公斤表示,体积用立方米表示。 13. Total number of Packages in Words 包装总数大写 Fill in the number in English words 使用英文单词填写 14. Freight and Charges 运费和费用

If the trade term is CIF, or CFR, fill in “Freight Prepaid”; if the trade term is FOB, fill in “Freight Collect” or “Freight payable at Destination”. 如果贸易条件是CIF或CFR,填“运费预付”;如果贸易条件是FOB,填“运费到付”或“目的港付运费”。

说明:若租船契约提单有时要求填:“Freight payable as per Charter Party”。有时信用证还要求注明运费的金额,按实际运费支付额填写即可。 15. No. of Original B(s)/L 正本提单份数

Fill in “THREE” and indicating “ORIGINAL” usually. 填“三份”,通常注明“正本”。 16. Place and Date of Issue 签单地点和日期

The place is the port of loading, date of issue refers to the date of shipment, and the date should be earlier than the validity of L/C. 地点是装运港,出单日期指装运日期,日期应早于信用证有效期。

说明:提单的签发地点一般在货物运港所在地,日期则按信用证的装运期要求,一般要早于或与装运期为同一天。有时由于船期不准,迟航或发货人造成迟延,使实际船期晚于规定的装期,发货人为了适应信用证规定,做到单证相符,要求船方同意以担保函换取较早或符合装运期的提单,这就是倒签提单(Ante Dated B/L);另外,有时货未装船或未开航,发货人为及早获得全套单据进行议付,要求船方签发已装船提单,即预借提单(Advanced B/L)。这两种情况是应该避免的,如果发生问题,或被买方察觉,足以造成巨大经济损失和不良影响。 17. Signed for the carrier 承运人签字

说明:提单必须由承运人或其代理人签字才能生效。若信用证要求手签的也要照办。对于海运提单由哪些人签署才有效的问题,《ucp500》作了新的补充规定,即第23条a(1)款中规定签署人可以是承运人或作为承运人的具名代理人或代表,或船长或作为船长的具名代理人或代表。 18. Number of Original B/L提单签发的份数

说明:信用证支付方法下提单正本的签发份数一般都有明确规定,因此,一定要按信用证的规定出具要求的份数。例如信用证规定:“Full set 3/3 origina1 c1ean on board ocean Bil1 of Lading….”,这就表明提单签发的正本三份,在提交给银行议付时必须是三份正本。若在提单条款上未规定份数,而是在其它地方指明:”…..available by beneficiary’s draft at sight drawn on us and accompanied by the following documents in duplicate”, 表明信用证所要求提交的单据,当然包括提单,全都是一式两份。又如信用证规定:“Full set of clean on board bil1 of lading issued…”,此种规定没有具体表明份数,而是指“全套”,根据《ucp500》第23条a(4)款规定:“包括一套单独一份的正本提单,或如果签发正本超过一份,则包括出立的全套正本。因此,对此类规定,就要看实际船方签发正本的份数而定。
